  • Professional Billing: Professional accounts have separate subscription terms, including a 30-day trial period and monthly billing with no long-term commitment.

PLEASE READ THIS AGREEMENT CAREFULLY. BY REGISTERING FOR OR USING A PROFESSIONAL ACCOUNT ON PLAN YOUR SUNSET, YOU AGREE TO BE BOUND BY THIS INDEPENDENT PROFESSIONAL AGREEMENT IN ADDITION TO OUR TERMS OF SERVICE.

1. Acceptance

This Independent Professional Agreement (“Professional Agreement”) supplements and forms part of the Plan Your Sunset Terms of Service (“ToS”). By registering for a Professional account (attorney or advisor) on Plan Your Sunset, you agree to be bound by this Professional Agreement in addition to the ToS, our AI-Specific Terms, our Privacy Policy, and our Data Retention Policy. Capitalized terms not defined here have the meanings given in the ToS. In the event of a conflict between this Professional Agreement and the ToS, this Professional Agreement governs with respect to your use of professional features.

2. Scope

This Professional Agreement governs your use of Plan Your Sunset as an independent professional, including but not limited to:

  • Client management features that allow you to manage client relationships, documents, and communications through the platform.
  • Document workflow tools that use attorney-reviewed templates and AI assistance to help your clients complete estate planning documents.
  • AI-assisted features, including our AI assistant Larry, which assists in gathering client information and filling attorney-reviewed document templates.
  • Digital vault and secure document sharing features for managing sensitive client documents.

This Professional Agreement applies to all attorneys, estate planners, financial advisors, and other professionals (“Professionals”) who register for a Professional account on Plan Your Sunset.

3. Independent Contractor Status

You are an independent contractor and not an employee, agent, partner, or representative of Plan Your Sunset or Sunset Life LLC.

You acknowledge and agree that:

  • No employment, agency, partnership, joint venture, or franchise relationship is created by this Professional Agreement or your use of the platform.
  • You have no authority to bind, represent, or act on behalf of Plan Your Sunset in any capacity.
  • You are solely responsible for your own taxes, insurance, and business expenses.
  • Plan Your Sunset does not supervise, direct, or control the manner in which you provide professional services to your clients.
  • Your clients are your clients — not clients of Plan Your Sunset. Any engagement between you and your clients is a separate professional relationship governed by your own engagement agreements and applicable professional rules.

4. Professional Liability Insurance

You represent and warrant that you maintain, and will continue to maintain throughout your use of the platform, active professional liability insurance (also known as malpractice insurance or errors and omissions insurance) that:

  • Covers the professional services you provide through or in connection with the platform.
  • Meets or exceeds the minimum coverage requirements of your licensing jurisdiction.
  • Is issued by a reputable insurance carrier licensed in your jurisdiction.

You agree to provide proof of current insurance coverage upon our request. Failure to maintain adequate professional liability insurance is grounds for suspension or termination of your Professional account.

5. Professional Conduct Compliance

You represent and warrant that:

  • You hold all licenses, certifications, and credentials required to practice in your jurisdiction.
  • You are in good standing with all applicable licensing authorities and professional regulatory bodies.
  • You will comply with all applicable Rules of Professional Conduct, ethical rules, and professional standards governing your practice, including but not limited to rules regarding competence, diligence, communication, confidentiality, and conflicts of interest.
  • You will promptly notify Plan Your Sunset if your professional license is suspended, revoked, or subject to disciplinary action.

Plan Your Sunset reserves the right to verify your professional credentials and to suspend or terminate your Professional account if we determine, in our sole discretion, that you are not in compliance with applicable professional standards.

6. Document Review Responsibility

You are solely responsible for reviewing all documents before delivery to your clients.

You acknowledge and agree that:

  • Estate planning document templates on the platform have been created and reviewed by licensed New York attorneys. Our AI assistant Larry assists in gathering information and filling these templates with data provided by you or your clients — Larry does not independently draft, create, or author legal documents.
  • AI-assisted content may contain errors, inaccuracies, omissions, or legally insufficient provisions. AI outputs have not been reviewed by an attorney for legal sufficiency or compliance with current law unless you perform such review.
  • You must review every document for accuracy, completeness, legal sufficiency, and compliance with applicable law before sharing it with, delivering it to, or filing it on behalf of any client.
  • You must exercise independent professional judgment in evaluating all AI-assisted content and platform outputs.
  • Plan Your Sunset bears no responsibility for documents that you deliver to clients without adequate professional review.

7. AI Output Representation

You must not represent AI-generated or AI-assisted content as attorney-reviewed work product unless you have actually reviewed it.

Specifically, you agree that:

  • You will not represent to clients, courts, or any third party that AI-generated content has been reviewed by an attorney unless you or another qualified attorney has in fact reviewed it.
  • You will not hold out AI outputs as your own professional work product without performing an independent review.
  • You will clearly distinguish between AI-assisted drafts and final attorney-reviewed documents in your communications with clients.
  • You understand that representing unreviewed AI output as attorney-reviewed work product may constitute a violation of applicable Rules of Professional Conduct, including rules governing competence and candor.

8. Client Disclosure of AI Participation

You agree to inform your clients that AI tools participate in document preparation on the Plan Your Sunset platform. Specifically:

  • Before using the platform to assist with a client’s estate planning documents, you will disclose to the client that AI technology (including our AI assistant Larry, powered by OpenAI, Anthropic, OpenRouter, and other providers) is used to assist in gathering information and filling document templates.
  • You will inform clients that data they provide through the platform may be processed by third-party AI service providers as described in our Privacy Policy.
  • You will obtain any client consent required by applicable Rules of Professional Conduct or other professional standards before using AI tools in connection with that client’s matter.
  • You are responsible for determining what disclosures are required under the professional rules applicable to your practice and jurisdiction.

9. Privilege Implications

Communications processed through the platform may not be protected by attorney-client privilege.

You acknowledge and understand that:

  • Information entered into the platform, including data processed by AI features, is transmitted to and processed by third-party service providers (including AI Providers such as OpenAI, Anthropic, and OpenRouter). Sharing privileged information through third-party systems may risk waiver of attorney-client privilege.
  • Session recordings and analytics tools used on the platform (such as Microsoft Clarity) may capture on-screen activity, including content displayed during your use of the platform. You should not display privileged client communications on-screen while session recording is active.
  • Chat communications with Larry are stored on our servers and may not be protected by attorney-client privilege. Do not share privileged attorney-client communications with Larry.
  • You are solely responsible for evaluating the privilege implications of using the platform in connection with client matters and for taking appropriate steps to protect privileged communications.
  • You should consult the ethics guidance of your licensing jurisdiction regarding the use of cloud-based tools and AI in legal practice.

10. Professional Account Subscription Terms

Professional accounts are subject to the following subscription terms, which supplement the general subscription terms in Section 11 of the Terms of Service:

A. Free Trial

  • Professional accounts receive a 30-day free trial period (compared to the 14-day trial available to standard consumer accounts).
  • At the end of your trial period, you will automatically be charged the applicable Professional subscription fee unless you cancel before the trial ends.
  • We will send you a reminder email at least 3 days before your first charge after the trial ends.

B. Subscription Plans

Professional accounts are available on a monthly basis. You pay on a month-to-month basis with no long-term commitment required.

C. Cancellation and Refunds for Professional Accounts

  • Cancellation: You may cancel at any time through your account settings. Cancellation takes effect at the end of the current monthly billing period. All fees are non-refundable unless required by law. No refunds are issued for partial months.
  • Post-Cancellation Data: Upon cancellation or termination, your client data and documents will be handled in accordance with our Data Retention Policy. We recommend exporting your data before your access ends.

11. Suspension and Termination

In addition to the termination provisions in Section 9 of the Terms of Service, Plan Your Sunset may suspend or terminate your Professional account if:

  • You fail to maintain active professional liability insurance as required by Section 4.
  • Your professional license is suspended, revoked, or subject to material disciplinary action.
  • You violate applicable Rules of Professional Conduct in connection with your use of the platform.
  • You represent AI-generated content as attorney-reviewed without performing an actual review.
  • You fail to make required disclosures to clients regarding AI participation.
  • You otherwise breach this Professional Agreement.

We will provide reasonable notice before termination where possible, except where immediate action is necessary to protect clients or comply with legal obligations.

12. Disclaimer and Limitation of Liability

THE PLATFORM AND ALL PROFESSIONAL FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

Plan Your Sunset does not warrant that:

  • The platform will meet your professional obligations or the requirements of your licensing jurisdiction.
  • AI-assisted content will be accurate, complete, or legally sufficient.
  • The platform will be uninterrupted, error-free, or free from security vulnerabilities.

The limitation of liability set forth in Section 12 of the Terms of Service applies to all claims arising from your use of Professional features. You acknowledge that you, as a licensed professional, bear independent responsibility for the quality and accuracy of work product you deliver to clients, regardless of whether you used the platform in its preparation.

You agree to indemnify and hold harmless Plan Your Sunset from any claims, losses, damages, or liabilities arising from your professional services, your failure to review documents before delivery, your misrepresentation of AI outputs, or your violation of professional conduct rules.

13. Governing Law and Disputes

This Professional Agreement is governed by the laws of the State of New York, without regard to conflict-of-law principles. The dispute resolution and binding arbitration provisions in Section 15 of the Terms of Service apply to any disputes arising under or relating to this Professional Agreement.

14. Changes to This Agreement

We may update this Professional Agreement from time to time. We will post the updated version on our website with a revised “Last Updated” date. If we make material changes that affect your professional obligations, we will notify you by email at least 14 days before the changes take effect. Your continued use of Professional features after updated terms are posted constitutes acceptance of the changes. If you do not agree to the updated terms, you should discontinue use of your Professional account.
